1. What this software is
The Workplaces Bookkeeping Agent (“the Software”) is internal accounting software built and operated by Workplaces for its own use. It connects to a single QuickBooks Online company file belonging to Workplaces, reads transactions and receipt scans, and prepares a review package for internal bookkeeping purposes.
2. Who may use it
The Software is not offered for sale, licence, subscription, or download to the public. It has no public sign-up. Use is restricted to Workplaces and its authorized personnel. No third party is granted any right to access, use, copy, or modify the Software.
3. Scope of access to QuickBooks Online
The Software connects to QuickBooks Online through Intuit’s OAuth 2.0 authorization flow, authorized by an authenticated Workplaces user. The Software reads accounting data only. It does not create, modify, or delete any record in QuickBooks Online.
Access may be revoked at any time from within QuickBooks Online, which immediately ends the Software’s ability to make further API calls. See Disconnecting the Workplaces Bookkeeping Agent.
4. Data handling
The Software’s handling of data — including what it reads, the third-party services it uses, where data is stored, encryption of credentials, the append-only audit log, and retention periods — is described in Part C of the Workplaces Privacy Policy, which forms part of this agreement.
5. No warranty
The Software is provided “as is”, without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement.
The Software prepares proposed bookkeeping entries for human review. It does not post entries and it is not a substitute for professional accounting or tax advice. Every proposal it produces is reviewed by a person before it is relied upon. Workplaces is solely responsible for the accuracy of its own books and tax filings.
6. Limitation of liability
To the maximum extent permitted by law, Workplaces shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or relating to the Software.
7. Intuit
Intuit Inc. is not a party to this agreement, does not endorse the Software, and bears no responsibility or liability for it. QuickBooks and QuickBooks Online are trademarks of Intuit Inc.
8. Changes
Workplaces may update this agreement. The effective date above reflects the most recent version.
9. Governing law
This agreement is governed by the laws of the Province of Alberta and the federal laws of Canada applicable in that province, without regard to conflict of laws principles.
